By accessing, browsing, or using any part of our Services, you, as a travel agency or an authorised representative thereof (referred to as "the User," "you," or "your"), acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Services.
1.1. Your use of our Services constitutes your unconditional acceptance of these Terms. These Terms form a legally binding agreement between you and Finley Holidays. 1.2. These Terms apply to all Users of the Services, including without limitation, users who are browsers, vendors, customers, merchants, and/or contributors of content. 1.3. Finley Holidays reserves the right to update, change or replace any part of these Terms by posting updates and/or changes to our website. It is your responsibility to check this page periodically for changes. Your continued use of or access to the website following the posting of any changes constitutes acceptance of those changes.
2.1. Finley Holidays provides a business-to-business (B2B) platform that enables registered travel agencies to purchase airline credits ("Airline Credits") at potentially affordable rates. These Airline Credits are intended for your onward sale or use in issuing airline tickets to your end customers. 2.2. Finley Holidays acts solely as an intermediary facilitating the transaction between you and the respective airlines or their authorised distributors for the acquisition of Airline Credits. We do not operate any airlines, nor do we directly issue airline tickets. 2.3. The actual airline tickets issued using these Airline Credits are subject to the terms and conditions of the respective airline, including but not limited to, conditions of carriage, baggage policies, fare rules, and any other applicable regulations. It is your sole responsibility to be aware of and comply with these airline-specific terms.
3.1. To access and use our Services, you must register for an account and provide accurate, complete, and current information as requested during the registration process. 3.2. You warrant that you are a legitimate travel agency or a duly authorised representative thereof, and that all information provided during registration and subsequent use is true and accurate. 3.3. You are solely responsible for maintaining the confidentiality of your account login details (username and password) and for all activities that occur under your account. You agree to notify Finley Holidays immediately of any unauthorised use of your account or any other breach of security. 3.4. Finley Holidays reserves the right to suspend or terminate your account and refuse any and all current or future use of the Services if any information provided is inaccurate, not current, or incomplete, or if we have reasonable grounds to suspect that such information is inaccurate, not current, or incomplete.
4.1. Pricing and Availability: The pricing and availability of Airline Credits are dynamic and subject to change without prior notice. Finley Holidays reserves the right to modify, suspend, or discontinue the sale of any Airline Credits at any time. 4.2. Payment: All purchases of Airline Credits must be made through the payment methods accepted by Finley Holidays on the platform. You agree to pay all charges incurred by you for the Airline Credits purchased. All payments are subject to Finley Holidays' payment processing terms and any applicable taxes. 4.3. Credit Validity: Airline Credits purchased through our platform may have specific validity periods or usage restrictions as determined by the issuing airline or Finley Holidays. It is your responsibility to check and adhere to these conditions. Unused or expired Airline Credits may not be refundable or exchangeable. 4.4. Issuance of Tickets: You are solely responsible for the proper and lawful issuance of airline tickets to your end customers using the purchased Airline Credits, in strict accordance with the terms and conditions of the respective airline and all applicable laws and regulations. 4.5. Non-Refundable Nature: Unless explicitly stated otherwise by Finley Holidays at the time of purchase, Airline Credits are generally non-refundable and non-exchangeable once purchased. Any exceptions will be at the sole discretion of Finley Holidays and/or the issuing airline. 4.6. Airline Terms: You acknowledge that the use of Airline Credits for ticket issuance is always subject to the individual airline's terms, conditions, and fare rules. Finley Holidays shall not be liable for any issues arising from the application of such airline terms.
5.1. All content, trademarks, service marks, logos, and other intellectual property displayed on the Services are the property of Finley Holidays or its licensors. You are not permitted to use these without the prior written consent of Finley Holidays. 5.2. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as generally permitted for the purpose of using the Services.
6.1. The Services and all information, content, materials, products (including Airline Credits), and other services included on or otherwise made available to you through the Services are provided by Finley Holidays on an "as is" and "as available" basis, without any warranties or conditions of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. 6.2. Finley Holidays does not warrant that the Services will be uninterrupted, secure, or error-free, or that any defects will be corrected. We do not warrant the accuracy, completeness, or reliability of any information obtained through the Services, including pricing or availability of Airline Credits, which are subject to change by airlines. 6.3. Finley Holidays is not responsible for any acts or omissions of airlines or any other third-party service providers. Any issues related to flight operations, cancellations, delays, baggage, or other airline services must be resolved directly with the respective airline.
7.1. To the fullest extent permitted by applicable law, in no event shall Finley Holidays, its affiliates, officers, directors, employees, agents, or suppliers be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation, damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to your access to or use of, or inability to access or use, the Services, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been advised of the possibility of such damages. 7.2. In no event shall Finley Holidays' total liability to you for all damages, losses, and causes of action (whether in contract, tort (including negligence), or otherwise) exceed the amount paid by you, if any, for the specific Airline Credits giving rise to the claim in the last six (6) months.
You agree to indemnify, defend, and hold harmless Finley Holidays, its affiliates, officers, directors, employees, agents, and suppliers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable legal fees) that such parties may incur as a result of or arising from your (or anyone using your account's) violation of these Terms, your use of the Services, your breach of any airline's terms and conditions, or your negligent or unlawful acts or omissions.
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
10.1. Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be first attempted to be resolved amicably through good faith negotiations between the parties. 10.2. If the dispute cannot be resolved amicably within thirty (30) days of one party notifying the other of the dispute, it shall be referred to and finally resolved by arbitration in accordance with the provisions of the Arbitration and Conciliation Act, 1996, as amended from time to time. 10.3. The arbitration shall be conducted by a sole arbitrator appointed mutually by the parties. If the parties fail to agree on a sole arbitrator, the appointment shall be made in accordance with the provisions of the Arbitration and Conciliation Act, 1996. 10.4. The seat and venue of the arbitration shall be Delhi, India. 10.5. The language of the arbitration shall be English. 10.6. Subject to the arbitration clause above, any legal action or proceedings arising out of these Terms shall be brought exclusively in the courts located in Delhi, India, and you hereby consent to the exclusive jurisdiction of such courts.
Finley Holidays reserves the right to modify or revise these Terms at any time. We will indicate the "Last Updated" date at the top of this page. Your continued use of our Services after any such changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect.
These Terms constitute the entire agreement between you and Finley Holidays regarding your use of the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter.
